TERMS
A) The Licensee understands that their non-exclusive use of the Original Instrumental Composition is limited to the following rights: The non-exclusive right to use the Original Instrumental Composition as included within the new composition. The non-exclusive right to reproduce and distribute for sell, a combined maximum of 2,000 Units (Two Thousand Units) of the Original Instrumental Composition as included within the new composition. Units shall be defined as compact discs, singles, cassettes (or any other audio format known and unknown) that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. If the Licensee wishes to reproduce and distribute for sell, more than 2,000 Units (Two Thousand Units) of the Original Instrumental Composition as included within the new composition, then the Licensee must obtain another License to do from the Licensor. The non-exclusive right to perform with the Original Instrumental Composition as included within the new composition, for the purpose of doing shows. The non-exclusive right to include and exploit the Original Instrumental Composition as included within the new composition, in digital internet usage, radio broadcasts, video clips and audiovisual uses all solely for advertising and promoting the sale of the new composition in which the Original Instrumental Composition is included. The Licensee also understands that their non-exclusive usage of the Original Instrumental Composition is limited to one new composition and if the Licensee wishes to use the Original Instrumental Composition in other new compositions, then the Licensee must obtain another License to use the Original Instrumental Composition from the Licensor. This grant shall be binding upon Licensee’s assigns and sublicensees.
B) Licensee understands that the rights that are being granted to the Licensee in this Agreement are non-exclusive and that the Licensor will have the full authority and full right to issue other parties the right to use the Original Instrumental Composition that is being licensed in this agreement.
C) The Licensee agrees to refrain from editing the Original Instrumental Composition that is being licensed in this agreement, by changing the arrangement of the Original Instrumental Composition or by removing any melodies, instruments, drum programming or sounds that are contained within the Original Instrumental Composition.
D) The Licensee understands that the Original Instrumental Composition that is being licensed in this agreement does not contain any unapproved samples. The Licensee also understands that they are responsible for clearing all samples that they choose to use and that the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the Original Instrumental Composition that is being licensed in this agreement.
E) The Licensee understands that The Licensor maintains 100% copyright and ownership of the Original Instrumental Composition that is being licensed in this agreement, and the Licensee has neither the right nor authority to sell or license the rights to the Original Instrumental Composition weather in whole or part to any other party.
F) Licensee is required to credit producer Charles Nemeth Jr. and B.A.G. It Up Entertainment on the new composition or recording that the Licensee creates that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement, with the following statement:
"Music by Charles Nemeth for B.A.G. It Up Entertainment"
Licensee agrees to display this statement on all physical media containing a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, and Jcards.
G) Licensee is required to credit Charles Nemeth Jr. as a writer on the new composition or recording that the Licensee creates that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. This credit should be placed near the song title as followed: C. Nemeth Jr.
Licensee agrees to display this statement on all physical media containing a portion or sum of the Original Instrumental Composition that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, and Jcards.
H) Licensee, is required to credit Charles Nemeth Jr. with authorship credits on the new composition or recording that the Licensee creates that contains a portion or sum of the Original Instrumental Composition that is being licensed in this
agreement, on the proper copyright forms with the following name: Charles Nemeth Jr.
I) Licensee is required to provide the Licensor with (1) copy of each completed, registered copyright application it has filed for the new composition or recording that the Licensee creates that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement.
J) For Performance Rights purposes, the Licensee is required to credit Charles Nemeth Jr. with 100% of the writer share on the new composition or recording the Licensee creates that contains a portion or sum of the Original InstrumentalComposition that is being licensed in this agreement. The Licensee understands that the Licensor will document this 100% writer shares on the proper music clearance forms upon receiving a copy of the new composition or recording that the Licensee created that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement.
REGISTRATION OF RECORDING:
The Licensee agrees to provide the Licensor with (2) copies of any compact disc, single, cassette (or any other audio format known and unknown) that contains a portion or sum of the Original Instrumental Composition that is being licensed in this agreement, within two weeks of its commercial release. Upon submission of a recording, the Licensee must also provide the Licensor with the following information: Artist(s) name, title of track(s), date recorded, date of release, and record company name. The Licensor reserves the right to use the Original Instrumental Composition and the registered recordings for promotional purposes.
THE TERRITORY
The rights granted under this Agreement shall be for the world.
